Standard Agreement for Marketplace Products

Snowflake offers standardized terms to help streamline procurement within the Marketplace.

Snowflake gives providers the option of using the Standard Agreement to help promote more efficient transactions with their consumers. The Standard Agreement streamlines procurement by cutting through lengthy contract development, review, and negotiations with a set of clear, standardized terms that govern product usage and establish the rights and obligations of each of the parties to the agreement.

What are the benefits of the Standard Agreement?

The Standard Agreement alleviates the burden on providers to draft their own terms and makes it easier for consumers to quickly gain access to products without having to perform lengthy reviews of new terms, speeding up the procurement process.

Can the Standard Agreement be amended?

Snowflake does support amendments to the Standard Agreement in Snowsight, the Snowflake web interface,, though parties to the Standard Agreement may choose to execute an amendment to the Standard Agreement offline. Providers may also draft their own terms based on the Standard Agreement. Such customized terms will not be presented to consumers as the Standard Agreement.

Does the Standard Agreement address industry-specific requirements?

No, the Standard Agreement does not address any requirements specific to a particular industry. Providers and consumers are solely responsible for determining whether the Standard Agreement meets their specific requirements. Snowflake makes no guarantees as to the sufficiency of the Standard Agreement for any particular industry or transaction.

Is Snowflake a party to the Standard Agreement?

Snowflake is not a party to the Standard Agreement unless Snowflake is providing or consuming a listing subject to its terms. The Standard Agreement is solely between the relevant provider and consumer.

What happens if a party violates the Standard Agreement?

If a party violates the Standard Agreement, they may be liable to the other party under the agreement, subject to any applicable limitations on liability. In addition, either party may terminate the Standard Agreement if the other party fails to cure any material breach of the agreement within 30 days after receiving written notice.

How do I know if a provider uses the Standard Agreement for a product?

If a provider uses the Standard Agreement as the terms of service for a particular product, the Legal Terms on the product’s listing page will state “Standard.”

Can I negotiate other terms with the provider?

You can contact the provider directly to ask if they will consider negotiating alternative terms to govern your use of a product. However, providers are not required to honor any such requests.

How do I enable the Standard Agreement for a product?

In order to enable the Standard Agreement for a product, first review the agreement with your legal counsel to determine if it meets your organization’s specific needs. You may then select the Standard Agreement as the terms of service that apply to your product when listing the product in the Marketplace. See our supplemental documentation page for additional details. For assistance with enabling the Standard Agreement, please file a case with our marketplace operations team.

Am I required to use the Standard Agreement as the terms of service for my products?

No, you are not required to use the Standard Agreement as the terms of service for any products. However, you are required to have terms of service that meet the minimum requirements outlined in the Snowflake Provider Terms of Service.

Does the Standard Agreement include data protection terms for personal information?

The Standard Agreement does not contain comprehensive data protection terms if your product contains personal information. You should consider your compliance with applicable data protection laws (such as consents and cross-border data transfers) based on the particular category, type, or geographic origin of the personal information involved. You are responsible for determining whether the Standard Agreement meets your specific requirements.

Can I later change the terms of service for a product from the Standard Agreement to my own terms?

Yes, you can change the terms that you apply to new transactions involving a specific product at any time. However, in order to change the terms that apply to any existing transactions, the other party must agree to the new terms. 

May the Standard Agreement be used as the terms of service for both free and monetized products?

Yes, you may choose to use the Standard Agreement as the terms of service for any product you make available through the Marketplace, including free and monetized products.
