これらのお客様管理データシェア機能利用規約（以下「本データシェア規約」といいます。）は、SnowflakeによるSaaSオファリングの提供に関してお客様とSnowflakeとの間で締結された契約（以下「本契約」といいます。）を補足し、さらに、以下に規定するとおり、Snowflakeがオプショナルオファリングとしてお客様の使用のためにデータシェア機能を利用可能にし、かつ、Snowflakeが第三者の利用を許諾する条件を定めるものです。「データシェア機能」とは、お客様の選択及び裁量により、お客様が指定したSnowflakeの他のお客様又は第三者ユーザー（後で定義されます。）とデータ、ソフトウェア、サービス又はメタデータ（以下「プロバイダーマテリアル」といいます。）を共有すること、及びSnowflakeの他のお客様のプロバイダーマテリアルにアクセスし又はこれを利用することを可能にする本サービス機能を意味し、詳細は本ドキュメンテーションにおいて説明されます。

These Customer-Controlled Data Sharing Functionality Terms (“Data Sharing Terms”) supplement the agreement between Customer and Snowflake under which Snowflake provides its software-as-a-service offering (“Agreement”), and set forth the terms under which Snowflake makes its Data Sharing Functionality available for Customer’s use as an Optional Offering and under which Snowflake permits third-party use, as described below. “Data Sharing Functionality” means the features of the Service that enable Customer, at its option and in its sole discretion, to share data, software, services, and/or metadata (“Provider Materials”) with other Customer-designated Snowflake customers and/or Third Party Users (as defined below), and to access or use Provider Materials from other Snowflake customers, as further described in the Documentation.

自らのプロバイダーマテリアルを共有するSnowflakeのお客様を「プロバイダー」、プロバイダーマテリアルにアクセスし、又はこれを利用するSnowflakeのお客様を「コンシューマー」といいます。本規約で定義されていない大文字で始まる用語は、本契約に定めるものと同じ意味を有するものとします。

The Snowflake customer sharing its Provider Materials is a “Provider,” and the Snowflake customer accessing or using Provider Materials is a “Consumer.” Capitalized terms not defined herein shall have the meaning given to them in the Agreement.

1. お客様がプロバイダーとなる場合　お客様がプロバイダーマテリアルを提供することによりプロバイダーとしてデータシェア機能を利用する場合、プロバイダーは、以下のことを了解し、同意します。(1) コンシューマーがプロバイダーの指定するプロバイダーマテリアルへのアクセス権限（プロバイダーマテリアルの閲覧、ダウンロード、クエリーが含まれます）を有すること、また、コンシューマーとのプロバイダーマテリアルの共有に伴うリスク評価についてはプロバイダーがすべての責任を負うこと。 (2) Snowflakeは、プロバイダーによるプロバイダーマテリアルの共有に関するコンシューマーの行為又は不作為についてはいかなる管理権限もなく、かつ、責任も負わないこと。 (3) プロバイダーマテリアルは、適用のある法律、政府による規制及びその他の法的な要件を遵守すること。 (4) プロバイダーは、全てのプロバイダーマテリアルの正確性、内容、及び適法性について単独で責任を負うこと。さらに、プロバイダーは、本データシェア規約に基づくSnowflakeによるプロバイダーマテリアルの処理がいかなる法律及び第三者の権利も侵害しないことを保証します。

1. When Customer is Provider. If Customer is using the Data Sharing Functionality as a Provider by providing any Provider Materials, Provider acknowledges and agrees that: (1) Consumers will have the access to Provider Materials designated by Provider (including to view, download, and query the Provider Materials) and that it is Provider’s sole responsibility to evaluate any risks related to its sharing of Provider Materials with Consumers; (2) Snowflake has no control over, and will have no liability for, any acts or omissions of any Consumer with respect to Provider’s sharing of Provider Materials; (3) Provider Materials will comply with applicable laws, government regulations and any other legal requirements; and (4) Provider is solely responsible for the accuracy, content, and legality of all Provider Materials. Provider further warrants that the processing of Provider Materials by Snowflake in accordance with these Data Sharing Terms will not violate any laws or the rights of any third party.

2. お客様がコンシューマーとなる場合　 お客様がプロバイダーマテリアルにアクセスし又はこれを利用することによりコンシューマーとしてデータシェア機能を利用する場合、コンシューマーは、以下のことを了解し、同意します。(1) Snowflakeがプロバイダーマテリアル又はコンシューマーによるプロバイダーマテリアルの利用に関していかなる責任も負わないこと。 (2) Snowflakeが、コンシューマーによる本サービス及びプロバイダーのプロバイダーマテリアルの利用及びアクセスに関する情報を収集し（その情報に関連してコンシューマーを特定することも含みます。）、これをプロバイダーと共有できること。

2. When Customer is Consumer. If Customer is using the Data Sharing Functionality as a Consumer by accessing or using any Provider Materials, Consumer acknowledges and agrees that: (1) Snowflake has no responsibility or liability for such Provider Materials or Consumer’s use of such Provider Materials; and (2) Snowflake may collect information about Consumer’s use of and access to the Service and to Provider’s Provider Materials (including identifying Consumer in connection with such information) and share it with Provider.

3. Snowflakeレビュー　Snowflakeは、プロバイダーマテリアルの悪用若しくはセキュリティに関する問題のため、又は法律により要求される場合、本ドキュメンテーションにおいて説明されるとおり、適宜プロバイダーマテリアルをレビューすることができるものとします（そのような各レビューを「Snowflakeレビュー」といいます。）。Snowflakeは、Snowflakeレビューに基づいてプロバイダーマテリアルを共有する機能を制限し又は一時停止することに関して何らの責任も負わず、またプロバイダーマテリアルに存在するあらゆる種類の欠陥又は問題（適用のある条件又は法律の遵守に関連する問題を含みます。）を特定できなかったことに関しても何らの責任も負いません。お客様は、自身の法令遵守又はマーケティング活動の一部としてSnowflakeレビューを宣伝し又は信頼することはできないものとします。Snowflakeレビューに関連して顧客データであるプロバイダーマテリアルのSnowflakeによるホスティング及び処理は、セキュリティ補遺及びデータ処理補遺を含む本契約の適用のある条項に従うものとし、詳細は本規約において説明されます。データシェア機能を利用することにより、お客様は、顧客データであるプロバイダーマテリアルのSnowflakeレビューは、お客様により設定され又は本ドキュメンテーションに規定されたホスティング地域において実行され、かつ、顧客データであるプロバイダーマテリアルも、お客様により設定され又は本ドキュメンテーションに規定されたホスティング地域においてホスティングされることを了解するものとします。

3. Snowflake Reviews. Snowflake may review Provider Materials from time to time, for abuse or security issues, or as may be required by law, as described in the Documentation (each such review, a “Snowflake Review”). Snowflake shall have no responsibility or liability for limiting or suspending the ability to share Provider Materials based on the results of a Snowflake Review, or for its failure to identify any deficiencies or problems of any type with the Provider Materials, including, issues related to compliance with applicable terms or law. Customer may not advertise or rely on any Snowflake Review as part of its own compliance or marketing activities. Snowflake hosting and processing of Provider Materials that are Customer Data in connection with Snowflake Reviews remain subject to applicable provisions of the Agreement, including the Security Addendum and Data Processing Addendum, as further described herein. By using the Data Sharing Functionality, Customer acknowledges that Snowflake Reviews of Provider Materials that are Customer Data will be performed, and Provider Materials that are Customer Data will be hosted, in the hosting region configured by Customer or as described in the Documentation.

4. 第三者による使用　本データシェア規約及び本契約に従うことを条件として、お客様は、その選択及び裁量により（Snowflakeにより提供される方式を使って）、現在Snowflakeのお客様ではない第三者事業体（以下「第三者ユーザー」といいます。）に対して、本ドキュメンテーションにおいてさらに説明されるとおり、かつ、専ら以下のいずれかに該当する場合に限り、本サービスのリーダーアカウント又はパブリッシャーサブスクライバーアカウント（以下総称して「第三者アカウント」といいます。これらのアカウントの機能は本ドキュメンテーションに規定されています。）にアクセスする権限を付与することができます。(a) プロバイダーマテリアルを第三者ユーザーと共有する目的のため。(b) データシェア機能を利用するお客様のソフトウェア又はサービスに関連する場合。(c) 本サービスに関連してお客様の提供する製品又はサービス（それぞれを「プロバイダーオファリング」といいます。）に関連する場合。ただし、お客様はその製品又はサービスを再販売業者又はマネージドサービスプロバイダーのように提供してはならないものとします。

4. Third Party Use. Subject to these Data Sharing Terms and the Agreement, Customer may, at its option and in its sole discretion (using a mechanism provided by Snowflake) authorize third-party entities that are not currently Snowflake customers (“Third Party Users”) to access a Reader Account or a Publisher-Subscriber Account (as those features are described in the Documentation) in the Service (collectively, “Third Party Accounts”) as further described in the Documentation and solely: (a) for purposes of sharing Provider Materials with a Third Party User; (b) in connection with Customer’s software or services that make use of the Data Sharing Functionality; or (c) in connection with a Customer-offered product or service used in connection with the Service (each, a “Provider Offering”), provided that Customer may not offer such product or service as would a reseller or managed service provider.

4.1. お客様は、本規約において提供される第三者アカウントの利用が、その第三者ユーザーがSnowflakeのお客様になり、かつ、Snowflakeから直接本サービスを購入する場合よりも優れた体験を提供するものであると第三者ユーザーを誤解させ又は示唆する態様でプロバイダーオファリングを説明してはならないものとします。

4.1. Customer shall not describe its Provider Offering in any manner that could mislead or suggest to a Third Party User that its use of a Third Party Account, as provided herein, will provide a superior experience to such Third Party User becoming a Snowflake customer and procuring the Service directly from Snowflake.

4.2. お客様は、第三者ユーザーが本サービスの利用に関連して適用のある法律上及び契約上の全ての義務を遵守させることについて単独で責任を負うものとします。お客様は、第三者ユーザーによる第三者アカウントの利用に関する行為又は不作為に関して、お客様自身の行為又は不作為と同様に責任を負うものとし、第三者ユーザーは本契約におけるユーザーを構成するものとします。お客様は、ACCOUNTADMIN（アカウント管理者）の役割を維持しなければならず、かつ、そのロール又はそのロールに関連する権限を第三者ユーザーに付与してはならないものとします。

4.2. Customer is solely responsible for ensuring that Third Party Users comply with all applicable legal and contractual obligations in connection with their use of the Service. Customer shall be responsible for any acts or omissions on the part of Third Party Users in their use of the Third Party Accounts as if they were acts or omissions of Customer, and Third Party Users shall constitute Users under the Agreement. Customer must retain the ACCOUNTADMIN role and shall not grant this role or the permissions associated with it to a Third Party User.

4.3. お客様は、パブリックセクターに対し第三者アカウントを提供することはできないものとします。「パブリックセクター」とは、(i) レベルを問わずあらゆる国の政府、(ii) 準政府機関（例えば世界銀行）、(iii) 国際的な統治機関又は規制機関（例えばEUの機関）、又は(iv) 主に公的資金により運営される機関（例えばカレッジ、大学又は病院）に含まれる（又はそれらにより主として公的に資金提供され、所有され、運営され又は支配される）機関、組織、その他の事業体（又はそれらのために行動する個人）をいいます。

4.3. Customer may not provide a Third Party Account to any Public Sector Entity. “Public Sector Entity” means an agency, organization, or other entity (or any persons acting on their behalf) that is within (or is majority publicly funded, owned, managed, or controlled by): (i) any country's government at any level; (ii) a quasi-government entity (such as the World Bank); (iii) an international governing/regulatory body (such as an EU institution); or (iv) a majority publicly funded institution (such as a college, university, or hospital).

4.4. リーダーアカウントへのアクセス権限を付与された第三者ユーザーは、リーダーアカウント内にいかなるデータもアップロードすることを禁止されるものとします。

4.4. Third Party Users authorized to access a Reader Account shall be prohibited from uploading any data into the Reader Account.

4.5. お客様は、Snowflakeに対して訴えを提起する第三者の権利を創設し、又は本契約及び本データシェア規約の外でSnowflakeの責任を創設する条件について第三者ユーザーと合意をしてはならないものとします。Snowflakeは、本契約（本データシェア規約により変更されたもの）に含まれず又はこれと矛盾する一切の条件について、拘束されず、履行の責任を負わず、かつ、不履行の責任を負わないものとします。本データシェア規約に基づく第三者受益者は存在しません。

4.5. Customer shall not agree to any terms with Third Party Users that create any third-party right of action against Snowflake, or create any responsibility for Snowflake outside of the Agreement and these Data Sharing Terms. Snowflake shall not be bound by, responsible for performance of, or liable for non-performance of any terms and conditions not included in, or otherwise inconsistent with, the Agreement (as modified by these Data Sharing Terms). There are no third-party beneficiaries under these Data Sharing Terms.

4.6. お客様は、第三者アカウントの利用について支払をする責任を負うものとします。お客様は、第三者ユーザーによる第三者アカウントの利用に対し、又はそれ以外にプロバイダーオファリングに関連して、第三者ユーザーに料金を請求することができるものとします。本契約に基づくお客様の秘密保持義務を制限することなく、お客様は、お客様のSnowflake価格情報を第三者ユーザーに対して開示してはならないものとします。

4.6. Customer shall be responsible for paying for any usage of the Third Party Accounts. Customer may charge its Third Party Users for their use of such accounts or otherwise in connection with the Provider Offering. Without limiting Customer’s confidentiality obligations under the Agreement, Customer may not expose its Snowflake pricing information to its Third Party Users.

4.7. お客様は、第三者ユーザーによりもたらされ、又は第三者アカウントの利用における第三者ユーザーの行為若しくは不作為から生じ若しくはこれに関連して発生したあらゆる請求、費用、損害、損失、責任及び経費（合理的な弁護士費用を含みます。）からSnowflakeを防御、補償及び免責します。いかなる異なる規定にもかかわらず、本項に基づくお客様の補償義務は、責任の制限の対象ではありません。

4.7. Customer will defend, indemnify, and hold harmless Snowflake from and against any and all claims, costs, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) brought by any Third Party Users or arising from or relating to any acts or omissions by Third Party Users in their use of the Third Party Accounts. Notwithstanding anything to the contrary, Customer’s indemnification obligations under this section are not subject to any limitations on liability.

4.8. 第三者ユーザーによりパブリッシャーサブスクライバーアカウントにアップロードされる全てのデータは、本契約に定義されるお客様の顧客データです。お客様は、お客様がSnowflakeに提供する第三者ユーザーに関する一切の情報（個人情報を含みます。）をSnowflakeと共有する権利を有することを表明します。

4.8. Any data uploaded to the Publisher-Subscriber Account by a Third Party User is Customer’s Customer Data as defined in the Agreement. Customer represents that it has the right to share with Snowflake any information, including personal information, about Third Party Users that Customer provides to Snowflake.

4.9. お客様は、1つの法人並びにその関連会社及び請負業者に限り、所定のパブリッシャーサブスクライバーアカウントに対するアクセスを付与することができます。お客様は、異なる法人のためにパブリッシャーサブスクライバーアカウントを再利用することはできないものとします。お客様は、第三者ユーザーがパブリッシャーサブスクライバーアカウントに対するアクセスを他の法人に付与しないことを保証するものとします。

4.9. Customer may only grant access to a given Publisher-Subscriber Account to one legal entity and that entity’s affiliates and contractors. Customer may not re-use a Publisher-Subscriber Account for a different legal entity. Customer shall ensure that the Third Party User does not grant access to the Publisher-Subscriber Account to any other legal entity.

4.10. お客様は、第三者ユーザーがサポートポリシーに定められたとおりにのみサポートリクエストを提出することを保証するものとします。

4.10. Customer must ensure that Third Party Users submit support requests only as set forth in the Support Policy.
