ZERO COPY CONNECTORS FOR SAP® BUSINESS DATA CLOUD ADDENDUM

This Zero Copy Connectors for SAP® Business Data Cloud Addendum (the “SAP ZCC Addendum”) is entered into by and between Snowflake and Customer as of the Effective Date and sets forth the terms under which Snowflake makes the SAP ZCC Offerings available for Customer’s use as an Optional Offering.  This SAP ZCC Addendum amends and forms part of the Customer Agreement.  By accessing or using the SAP ZCC Offerings, Customer agrees that it will access and use the SAP ZCC Offerings solely in accordance with the Customer Agreement and this SAP ZCC Addendum.  In the event of any conflict between this SAP ZCC Addendum and the Customer Agreement, this SAP ZCC Addendum will control with respect to the subject matter herein. Capitalized terms used but not defined herein shall have the meaning given to them in the Customer Agreement.

1. Customer Obligations and Responsibilities

1.1. SAP Agreement Required. Customer acknowledges that (a) access to and use of the SAP ZCC Offerings requires Customer to have a valid license or other applicable right to use the applicable External Offerings pursuant to the SAP Agreement, and (b) Snowflake is not responsible for any disruption in Customer's access to or use of the SAP ZCC Offerings arising out of changes, suspensions, or disruptions to, or termination of, the External Offerings or the SAP Agreement.

1.2. Except as otherwise permitted by the SAP Agreement, Customer will not share any SAP Data Products in original form as obtained from the External Offerings outside of any of Customer’s Accounts.

1.3.  Customer will not, and will not permit any third party acting on its behalf to, disable, delete, tamper with, or otherwise interfere with system-applied tags related to billing data for the SAP ZCC Offerings.

2. Usage Data and SAP Fees. Customer’s use of the SAP ZCC Offerings may be subject to separate fees or charges from SAP pursuant to the SAP Agreement.  Snowflake is not a party to, and has no responsibility for, the SAP Agreement.  Notwithstanding anything to the contrary in the Customer Agreement, Customer acknowledges and agrees that Snowflake may share Usage Data (including billing data) regarding Customer’s use of the SAP ZCC Offerings with SAP.

3. Definitions

3.1.  “Effective Date” means the earlier of the date of Customer’s initial use of any SAP ZCC Offerings or acceptance of this SAP ZCC Addendum.

3.2.  “External Offerings” means, solely for purposes of this SAP ZCC Addendum, any non-Snowflake third-party service provided to Customer by or on behalf of SAP, including, without limitation, other non-Snowflake-originated products and features of SAP Business Data Cloud or other SAP products or services.

3.3.  “SAP ZCC Offerings” means Zero Copy Connector for SAP® Business Data Cloud and Zero Copy Connector for SAP® Business Data Cloud Publisher.

3.4.  “SAP” means SAP SE, its affiliates, or any of the foregoing’s authorized resellers or channel partners, as applicable.

3.5.  “SAP Agreement” means that separate agreement entered by and between SAP and Customer governing provision of the External Offerings by or on behalf of SAP to Customer, and Customer’s rights to use such External Offerings.

3.6.  “SAP Data Products” means all data, metadata, and data models originating from External Offerings and made available through the SAP ZCC Offerings, including, without limitation, data from SAP application suites (e.g., S/4HANA, SuccessFactors). SAP Data Products include SAP-created data products, and SAP’s customer- and partner- created data products.
