Snowflake Data Terms of Service

This Snowflake Data Terms of Service (the “Terms”) sets forth the terms and conditions governing access to, and use of, the data, software, or services offered by Snowflake Inc. (“Snowflake”) on the Marketplace that is listed as subject to this Agreement (the “Product”), by the party acquiring or purchasing the Product (“Consumer”). 

Capitalized terms used but not defined herein shall have the meanings given to them in the Standard Agreement (defined below).

1. Standard Agreement. These Terms hereby incorporate by reference the Standard Agreement for Marketplace Products, made available at https://www.snowflake.com/en/legal/optional-offerings/offering-specific-terms/snowflake-marketplace/standard-agreement/ (or such successor URL as may be designated by Snowflake) (the “Standard Agreement”) in their entirety. For avoidance of doubt, references to “Provider” in the Standard Agreement shall refer to Snowflake. 

2. Additional Terms. Consumer acknowledges and agrees to the following additional terms: 

2.1. AI Systems. Notwithstanding anything to the contrary in the Standard Agreement, Consumer and Snowflake acknowledge and agree that (1) the Product (including data contained therein) may not in any form be used to train or enhance, or otherwise be made available to, any artificial intelligence or machine learning models, systems, products, or services, including large language models (LLMs) and chatbots (each an “AI System”) that are sold, licensed, or otherwise made available to any third parties, whether for commercial or non-commercial purposes; and (2) the Product may be used for training, benchmarking, inference, research, and other internal development purposes in connection with Consumer’s AI Systems intended solely for internal use and that are not and shall not be sold, licensed, or otherwise made available to any third parties.
